Welcome to ADICORN! These Terms and Conditions (“Terms”) govern your access to and use of our business communication and marketing automation platform (“Platform”), operated by ADICORN (“we,” “our,” or “us”).
By accessing or using our Platform, you agree to comply with and be bound by these Terms. If you disagree with any part of these Terms, you must not use our services.

1. Business Verification & Account Registration
  1. You must complete Facebook Business Verification to access WhatsApp Business API services through ADICORN.

  2. A verified Facebook Business Account is mandatory for WhatsApp Business API access.

  3. Businesses must register with an approved Messaging Partner (MSP) or carrier, and approval is required for sender ID and branding.

2. Data & Privacy Compliance
  1. You must comply with all applicable data protection and privacy laws, including the GDPR, IT Act (India), and relevant local regulations.

  2. Customers must explicitly opt-in to receive communications from your business via checkboxes, web forms, or similar consent mechanisms.

  3. You are solely responsible for collecting and maintaining proof of opt-in consent for all customers.

  4. ADICORN processes data strictly for service provision and in accordance with its Privacy Policy.

3. Messaging Policy
  1. Template Messages (such as notifications or updates) must be approved by WhatsApp before use.

  2. The 24-hour Customer Service Window applies: businesses can only send free-form messages within 24 hours of the last user interaction.

  3. Messages outside this window must use approved templates.

  4. Spam, unsolicited promotions, or sensitive content are strictly prohibited.

  5. You are responsible for ensuring message content complies with WhatsApp, Meta, and carrier policies.

4. Carrier & Platform Restrictions
  1. All RCS, WhatsApp, or SMS campaigns must adhere to operator, carrier, and Google branding guidelines.

  2. Campaigns or content not aligned with these guidelines may be rejected or blocked without notice.

5. Prohibited Content

You must not use the Platform to send, promote, or distribute content that is:

  • Illegal, fraudulent, or misleading

  • Harmful, discriminatory, or harassing

  • Related to unauthorized or restricted products/services

  • In violation of Meta, WhatsApp, or carrier policies

ADICORN reserves the right to suspend or terminate accounts that violate this policy.

6. Platform Usage & License
  1. ADICORN and/or its licensors retain all intellectual property rights to the Platform, software, and content.

  2. You are granted a limited, non-transferable, non-exclusive license to use the Platform for your business communication purposes.

  3. You may not copy, modify, redistribute, or resell any part of the Platform without prior written consent.

7. Payments & Billing
  • Fees apply for template messages, session messages, or other usage-based services.

  • Pricing may vary by country, operator, or message category.

  • Payments are securely processed via Cashfree, and by using our payment services, you also agree to Cashfree’s Terms & Conditions.

  • ADICORN does not store any customer payment details.

8. Refund and Cancellation Policy
  • ADICORN follows a no-refund policy once payment has been made, except where required by law.

  • In cases of duplicate payments or failed transactions, please contact us at info@adicorn.com for assistance.

  • Subscription cancellations will take effect at the end of the current billing cycle.

9. Content Liability
  • ADICORN is not responsible for content or materials shared through your campaigns or third-party websites linked to our services.

  • You agree to indemnify and hold ADICORN harmless from any claims, damages, or losses resulting from misuse of the Platform or violation of these Terms.

10. Termination & Suspension
  • We reserve the right to suspend or terminate your access to the Platform for violations of these Terms or applicable laws.

  • Termination may result in loss of access to your account and all associated data.

  • ADICORN may also suspend services for maintenance, upgrades, or regulatory compliance.

11. Limitation of Liability

To the maximum extent permitted by law, ADICORN shall not be liable for any:

  • Direct, indirect, or consequential damages

  • Data loss, service interruption, or financial losses

  • Third-party actions or communication errors

Use of the Platform is at your own risk.

12. Disclaimer
  • ADICORN provides services on an “as is” and “as available” basis.

  • We make no warranties, express or implied, regarding the reliability, accuracy, or availability of the Platform.

  • ADICORN does not guarantee delivery of messages affected by third-party or carrier issues.

13. Governing Law

These Terms are governed by the laws of India.
Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat.
